These terms apply to every quotation, sample order and production order placed with AvenOffice. Where a signed sales contract exists, that contract sets the commercial detail and takes precedence over this page.
AvenOffice supplies businesses only — dealers, design studios, workplace consultants, developers and corporate buyers. By requesting a quotation or placing an order you confirm that you are acting for a company and are authorised to bind it. We do not sell to consumers, and nothing in these terms removes any right that cannot be excluded by law.
Quotations are valid for 30 days unless the quotation states otherwise. Prices cover the specification, quantity and finish listed at the time of issue, and are quoted FOB Foshan or EXW unless another Incoterm is named. Freight, insurance, duties and local taxes are not included. If the specification or quantity changes, we re-quote the affected items.
An order becomes binding when we receive your purchase order and issue written confirmation, and the agreed deposit has cleared. The standard minimum is 20 units per SKU; full ODM programmes start at 50 units per model. We may decline orders below these levels or ask for a tooling contribution.
Wood veneer, leather, fabric and powder coating vary between batches. Colour references such as Pantone, RAL or a physical sample are matched as closely as the material allows, and slight variation is not a defect. Dimensions carry a tolerance of ±3 mm unless the approved drawing states otherwise.
Standard finishes sample in about 48 hours. Custom veneers, fabrics and powder colours take 5–7 working days. Sample charges are credited against the production invoice when the order meets the minimum quantity. The approved sample defines the acceptable range for the production batch.
Production takes 25–35 working days after sample approval and deposit, unless the order confirmation states otherwise. Lead times are good-faith estimates rather than guarantees. If a delay is likely we tell you in writing and agree a revised date. Delivery terms follow Incoterms 2020 as named in the quotation.
Unless agreed otherwise in writing, payment is 30% deposit with the order and 70% before shipment. We accept T/T and irrevocable L/C at sight. Goods remain our property until the invoice is paid in full, even where risk has already passed under the agreed delivery term.
Inspect the goods on arrival and report visible damage or shortage within 14 days, with photographs and the packing list. Hidden defects must be reported within 30 days of delivery. We may repair, replace or credit the affected items at our option.
Returns require a written RMA number. Stock items may be returned within 30 days of delivery in original packaging, subject to a 15% restocking charge and return freight. Custom, made-to-order and ODM items cannot be returned unless they are defective. Orders cancelled after materials have been cut are charged for the work completed.
Structural frames are warranted for 5 years, and finishes, upholstery and mechanisms for 2 years, under normal commercial use of up to 8 hours a day measured from delivery. The warranty covers manufacturing defects. It does not cover normal wear, misuse, exceeding the stated load, improper cleaning or unauthorised modification. Spare parts remain available for at least 5 years after a model is discontinued.
Drawings, specifications and artwork you provide remain yours, and you confirm you have the right to use them. We retain ownership of our background designs, tooling, jigs and production know-how, including improvements made during the project. We do not copy third-party designs, and we may photograph our own products for reference unless an NDA says otherwise.
Our liability for any claim is limited to the invoice value of the goods concerned. We are not liable for loss of profit, loss of use, delay costs or other indirect losses. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited by law.
These terms are governed by the laws of the People's Republic of China. The parties will try to resolve any dispute in good faith for 30 days before referring it to the competent court in Foshan, Guangdong.
We may update these terms from time to time. The version in force on the date of your order confirmation applies to that order. The date at the top of this page shows the latest revision.
